Harmonic set to acquire Entone Technologies to create on-demand services
Harmonic has added video networking software to its product set through the acquisition of Entone Technologies. The acquired company specifically adds content preparation, ingest management, high-performance video streaming products and intelligent real-time distribution of video assets based on network constraints and consumer demand.
With Harmonic's headend, edge and access network solutions, the Entone software suite allows Harmonic to create an end-to-end delivery system for broadcast and personalized IP-delivered services including VOD, network PVR, time-shifted TV and targeted ad insertion. The joint product set creates a solution for advanced on-demand video services.
The agreed upon purchase price of $45 million is comprised of $26 million in cash, and the value of approximately 3.54 million shares of Harmonic common stock. In addition, Harmonic will assume certain liabilities of $1.5 million and invest $2.5 million in the form of a convertible note in Entone's consumer premise equipment business, which will be spun out to Entone's existing stockholders immediately prior to the closing of the acquisition.
