NEW YORK—Live sports streamer Fubo announced today that its shareholders have approved its previously announced transaction with The Walt Disney Company to combine Fubo’s business with the Hulu + Live TV business.

The transaction remains subject to regulatory approvals and the satisfaction of other customary closing conditions.

The deal, which was announced in January ended a contentious period between the two companies, when Fubo battled Disney over what it viewed as unfair competition from Disney’s collaboration with Fox and Warner Bros. Discovery on the new Venu streaming service. Days later the companies pulled the plug on the joint venture.

Under the terms of the agreement, at closing, Disney will own approximately 70% of Fubo. Fubo’s existing management team, led by Fubo co-founder and CEO David Gandler, will operate the newly combined Fubo and Hulu + Live TV businesses. Fubo and Hulu + Live TV will continue to be available to consumers as separate offerings after the deal closes.

“We would like to thank Fubo shareholders for voting to approve our business combination with Disney’s Hulu + Live TV business,” Gandler said. “The transaction remains subject to regulatory approvals and other customary closing conditions, but today we are one step closer to fulfilling our vision of a streaming marketplace that provides consumers with greater choice and flexibility.”

U.S. Sen. Elizabeth Warren (D-MA) has asked the U.S. Dept. of Justice to “closely scrutinize” Disney’s acquisition of FuboTV, expressing concerns that the deal could violate antitrust law and lead to higher subscription prices.

The deal, announced last month, resolves a lawsuit that Fubo filed in February 2024 against Disney, Fox, and Warner Bros. Discovery, which at the time collectively controlled more than 80% of nationally broadcast sports. A federal judge found that the three companies’ joint venture, Venu Sports, likely violated antitrust law.

In a letter sent to Omeed Assefi, Acting Assistant Attorney General for the United States Department of Justice’s (DOJ) Antitrust Division this week, Warren said that Disney’s proposed acquisition of Fubo “appears to allow Disney to simultaneously circumvent the negative outcome of the lawsuit while eliminating a competitor.”

“This proposed acquisition raises significant concerns under antitrust law, would give Disney increased market power and incentives to increase costs for viewers, and should be regarded as another data point in Disney’s history of anticompetitive behavior,” wrote Sen. Warren. “I urge DOJ not to be fooled by Disney’s attempt to purchase its way around antitrust law, and to closely scrutinize this proposed acquisition.”

Warren first raised concerns about Venu Sports in August 2024. Later that month, the U.S. District Court for the Southern District of New York enjoined the launch of that venture. Shortly after Disney appealed to the U.S. Court of Appeals for the Second Circuit, the DOJ’s Antitrust Division filed an amicus brief supporting the District Court’s findings that Venu Sports would have anticompetitive effects on the market.

“Disney’s proposed acquisition of Fubo is inextricably linked to the company’s attempt to dominate the sports streaming marketplace through Venu Sports” Warren said in a statement. “Disney directly competes with Fubo through Hulu + Live TV. Since acquiring Hulu in 2019, Disney has raised the price of Hulu + Live TV by 85%, from $45 per month to $82.99 per month, while using its market power to lead competitors to raise prices as well. If the takeover of Fubo is successful, Disney will only increase its leverage, and could use the reduced competition and the resultant market power to raise prices even further for sports fans across the country.”

Warren urged the DOJ to terminate the deal if it thinks antitrust laws have been broken.

“Disney has proposed a plan to acquire its competitor, and, in the process become an even more powerful force in an already highly-concentrated market,” she wrote. “I urge DOJ to continue [its] work on behalf of viewers by closely scrutinizing this proposed deal and blocking it if it violates antitrust law.”

NEW YORK—EDO and FuboTV Inc. have announced that they are working together to measure consumer behavior across Fubo’s premium sports, news and entertainment content.

As part of the agreement, EDO will provide Connected TV (CTV) ad engagement data across all advertiser campaigns that will help Fubo demonstrate strong ad performance on its platform as compared to traditional linear TV and streaming platforms.

Using the ad engagement data, Fubo said that it will be able to provide brands and agencies with granular CTV engagement data to attribute direct outcomes to CTV ad campaigns.

Initial findings from the partnership indicate that consumers are 16% more likely to engage with ads seen on Fubo overall than they are with ads on traditional linear TV and competitive streaming platforms. Additionally, sports fans are 29% more likely to engage with ads seen on sports networks on Fubo than ads during live sports on the average linear network, the companies said.

EDO is also providing Fubo advertising partners with ad engagement trends detailing viewer demographics most engaged with ads on the streaming service. For example, EDO found that men ages 25-54 were 35% more likely to engage with ads on Fubo compared to competitive streaming services and linear TV. At the category level, EDO data showed the same group was 37% more likely to engage with automotive ads, and 72% more likely to engage with telecom ads on Fubo than on linear TV and competitive streaming services. Additionally, women ages 18-34 were 18% more likely to engage with financial services ads on Fubo than on competitive streaming services and linear TV, the companies said.

“One of the strengths of CTV is its data-driven nature and the ability to measure ad campaigns more deliberately and accurately than on traditional linear TV,” said Dina Roman, senior vice president, global ad sales, Fubo. “Brands and agencies today are seeking clear insights into the outcomes of their advertising campaigns and that is why we are tapping measurement partners like EDO to reinforce the value of Fubo’s premium content and audience.”

“Modern marketers know that investing in campaigns on Fubo means advertising to a highly engaged audience,” said Kevin Krim, president & CEO, EDO. “By combining Fubo’s streaming expertise with EDO’s robust experience measuring live sports and entertainment events across linear and streaming TV, we’re empowering advertisers to go beyond basic reach metrics and begin measuring the outcomes-based, proof-of-performance insights that determine whether a brand achieves its most important business goals.”

NEW YORK—Fubo has announced that it will launch the Maximum Effort Channel on June 20 and that the channel’s first original program will be Bedtime Stories with Ryan.

The linear channel is part of a multi-year partnership with Fubo and Maximum Effort that includes an exclusive first-look for unscripted TV series as well as a blind scripted deal. Maximum Effort, a production company co-founded by Ryan Reynolds and George Dewey in 2018, has creative control over the channel's content. Since launching, Reynolds’ banner produced such content as the Deadpool movies, “Free Guy”, “The Adam Project” and the unscripted show “Welcome to Wrexham”.

“We’re so happy to create a program with the express goal of putting people to sleep. This show has actually been a dream of mine for a while,” said Maximum Effort co-founder Ryan Reynolds. “Story time is a nighttime staple in our home and is a daily reminder of the power of storytelling. We’re extremely grateful to our always amazing partners at Autodesk for helping bring this show to life with their design and make platform.”

Autodesk, a leader in design and make software, has signed on as the show’s official Imagination Sponsor. Bedtime Stories with Ryan will be designed and made using Autodesk’s platform, which helps creatives, moviemakers, architects, engineers, students and others make and design things.

“Autodesk software, used by moviemakers, engineers, and architects to design and make the world around us, also helps the next generation bring their powerful imaginations to life. That’s why we’re thrilled to be the official sponsor of Bedtime Stories with Ryan – a series which inspires these same imaginations,” said Dara Treseder, chief marketing officer at Autodesk. “As part of this work, we are proud to offer students and educators free educational access to our software, helping bright young minds transform their most creative dreams into reality, and one day, literally build a better world.”

More information is available on Autodesk here.

NEW YORK—FuboTV Inc. has announced that it has signed an agreement to work with iSpot.tv to improve connected TV (CTV) measurement across its premium video advertising inventory.

In addition, iSpot released new research documenting how Fubo reaches audiences beyond traditional linear TV advertising.

“Accurately measuring the value of CTV advertising has remained an industry-wide challenge since audiences have migrated from linear TV to streaming,” said David Gandler, co-founder and CEO, Fubo. “It’s paramount that we are able to verify the benefit of Fubo’s CTV inventory and differentiate our audience from that of linear TV. Together with iSpot, we are giving advertisers independent verification and greater transparency into their cross-platform campaigns, which demonstrates the tremendous value of CTV.”

The partnership with iSpot is one component of a broader initiative to reimagine Fubo’s CTV ad measurement to arm advertisers with attributable, concrete results, the virtual MVPD reported, adding that on Fubo, 92% of content is watched on a large-screen CTV.

Using iSpot’s cross-platform TV measurement solution, Fubo is now able to quantify the number of ad impressions delivered to incremental households not reached on linear TV and person-level audience estimates to account for co-viewing.

An iSpot measurement study for three major TV advertisers across distinct industries found that on average, 40% of ad impressions served on Fubo reached incremental households that are unreachable on linear TV, the companies reported. In the first quarter of 2023, iSpot found 17% of household TV ad impressions were delivered by live sporting events.

"Ad sales remains an important growth driver for Fubo as we target profitability in 2025,” Gandler continued. “As we expand our focus to more high-touch programs that drive engagement and greater brand affinity for our ad sales partners, demonstrating Fubo's reach beyond linear audiences is more important than ever."

Live sports TV streamer FuboTV reported better than expected results today, with total revenue up 34% to $316.5 million and 22% subscription growth, now totalling 1.285 million.

FuboTV also raised its full year subscriber guidance to 1.550 million-1.570 million subscribers (representing 8% year-over-year growth at the midpoint) and total revenue guidance to $1.235 billion-$1.265 billion (representing 27% YoY growth at the midpoint) in North America, adding that it expects to see positive cash flow by 2025.

The company delivered ad revenue of $22.5 million in the quarter, remaining flat YoY against what it says is continued pressure on the advertising market. Fubo expects a reacceleration of growth in the second quarter.

Fubo’s Rest of World (ROW) streaming business also posted double digit growth in total revenue ($7.8 million, up 41% YoY) and paid subscribers (379,000, up 24% YoY) during the first quarter. ROW includes the results of Molotov, the French live TV streaming service acquired by Fubo in December 2021.

The first quarter also marked a substantial YoY improvement in Fubo’s cash usage, Net Loss and Adjusted EBITDA (AEBITDA) due to what it said was a continued focus on unit economics, cost controls and path to profitability. Fubo ended the quarter with $364.8 million in cash, cash equivalents and restricted cash.

The company also said it will soon unveil new AI-enabled features for its streaming service based on its 2021 acquisition of AI and computer vision company Edisn.ai.

“We are pleased with Fubo’s execution to start 2023—beating expectations across our KPIs—and our increased North America guidance for the year reflects our confidence in our continued leadership in streaming,” said David Gandler, co-founder and CEO, Fubo. “In addition, we remain confident in our path to generate positive cash flow in 2025. While the macro uncertainty continues, the second quarter has started well, with customer engagement ongoing and advertising accelerating sequentially. We look forward to keeping shareholders updated on our progress in the quarters to come.”

NEW YORK—FuboTV Inc. is rebranding its consumer-facing products as Fubo and is kicking off a national ad campaign as part of the new branding.

The nationwide campaign stars 15-time NBA All-Star, NBA Champion and Hall of Famer Kevin Garnett and veteran NFL quarterback Mark Sanchez and is co-produced by Ryan Reynolds’ Maximum Effort Productions.

“FuboTV has grown in size and scope, with multiple brands under our global umbrella, since we launched our core cable TV replacement product in 2015,” said David Gandler, co-founder and CEO, Fubo. “Alongside our continued growth, our consumers have affectionately shortened our name to Fubo and we feel that name represents the premium media brand we are today. We’re building on this momentum with an updated visual identity and new ad campaign, created in partnership with Ryan Reynolds’ Maximum Effort, to continue to drive profitable growth as we head into baseball season.”

The new brand logos will roll out across Fubo’s products and apps over the coming months.

Launching amid the World Baseball Classic and the start of the Major League Baseball season, Fubo’s new brand ad campaign is framed by the line, “If Sports Fans Built a Streaming Service,” and highlights Fubo’s unique product experience, built for the most hungry, competitive and digital-first sports fans, the company said.

The campaign stars Kevin Garnett, Mark Sanchez and a comedic ensemble cast. It highlights Fubo's recent #1 ranking in Customer Satisfaction among Live TV Streaming Providers by J.D. Power. The multi platform campaign includes a series of :15 and :30 national spots and digital display ads.

“In a time with seemingly endless options, our new brand campaign shows what sets Fubo apart as a must-have for sports fans,” said Pamela Duckworth, head of Fubo Networks and originals, Fubo. “We worked hand-in-hand with Maximum Effort to bring this concept to life and I’m extremely proud of the content we’re creating together.”

The co-production with Maximum Effort is part of a multi-year partnership with Fubo that reflects the common creative vision of the two companies. The deal includes the forthcoming launch of the Maximum Effort Channel, a linear network on Fubo, as part of an exclusive first-look for unscripted TV series as well as a blind scripted deal.

“The reason Maximum Effort believes in Fubo is it’s the one product that captures the best of cable and the best of streaming, while having the very meaningful differentiator of live sports,” said investor Ryan Reynolds. “While cable fights cord-cutters and streaming services fight the cash content war, Fubo is building an experience and suite of services that can win.”

Sports vMVPD streamer FuboTV reported a loss of $152.9 million in Q4 and added 214,000 new subscribers during the period, bringing its total number of subscribers in North America to 1.445 million.

Although the loss was higher than the $112 million reported during the same quarter a year, the company attributed much of the increase in a $56.2 million write down in discontinued operations. The company reported that it had surpassed $1 billion in global annual revenue in 2022 for the first time.

Revenue for Q4 in North America totaled $312.1 million, up 36% YOY while ad revenue was up 30% YOY to $33.6 million.

Outside of the North America market, FubuTV reported a 117% increase in subscriptions YOY to 420,000 total.

The company said it would spend 2023 focusing on expanding and improving delivery of FAST channels.

“Fubo’s fourth quarter results represent a strong finish to 2022 and an inflection point for our company supported by two very important milestones: we surpassed $1 billion in total annual revenue and $100 million in ad sales annual revenue for the first time,” said David Gandler, co-founder and CEO, Fubo. “The fourth quarter also marked our lowest level of quarterly cash usage in Fubo’s time as a publicly-traded company and we achieved positive gross profit. Over the course of 2022 we undertook bold measures to position our business for today’s challenging macroeconomic environment. We furthermore believe that Fubo’s model will prove to be resilient, profitable and poised to continue to deliver a truly differentiated consumer experience while providing our media partners with a growing distribution platform.”

“Fubo delivered a record fourth quarter and full year across a number of our key financial and operational metrics,” said Edgar Bronfman Jr., executive chairman, Fubo. “In 2022, we added differentiated content, including Bally Sports’ expansive portfolio of regional sports networks, aimed at driving subscriber growth and doubling-down on our sports-first positioning. We believe our continued subscriber growth gives us real leverage in partner negotiations and we are more closely examining which content aligns with our profitability goals. Additionally, we believe our Unified Platform initiative, which will integrate Molotov’s team and technology, will drive further innovation enabling us to deliver a premium experience that surprises and delights our customers. We remain very excited about the opportunity in front of us.”

NEW YORK—In a notable example of the growing tensions between national broadcast networks and local station groups, a number of major station groups have removed their CBS affiliates from the streaming pay TV service, FuboTV.

Paramount Global had negotiated a carriage deal with FuboTV that includes carriage of the local stations. But the CBS Affiliate Board refused to back the deal and Sinclair Broadcast Group, Nexstar Media, Gray Television, E.W. Scripps Co., Tegna, Hearst Television and Cox Media Group have since removed their CBS affiliates from FuboTV.

Traditionally negotiations with streaming services like FuboTV have been handled at the local level but the growing importance of streaming media has pushed stations to be more aggressive in this area and heightened ongoing tensions between the networks and their affiliates.

Paramount Global is providing the national CBS network feed without the local content from stations to FuboTV.

“FuboTV’s affiliation agreement with Paramount Global includes our right to carry CBS-owned and operated local stations and affiliated stations upon their election to opt into it,” FuboTV noted in a statement to its subscribers. “Unfortunately, some CBS affiliates have decided not to opt into our current agreement. CBS has provided a national feed in those affected markets, allowing our customers to continue watching their favorite CBS programming.”

FuboTV said that Paramount Global national networks such as CBS Sports Network, CBS News, SHOWTIME, Nickelodeon, MTV, Comedy Central, BET, and Paramount Network, among others, are not affected by the dispute, which only impacts local CBS affiliates in select areas.

Sister publication B+C reported that “in a note to stations last week, the CBS affiliate board said it `remains adamantly opposed to Paramount’s insistence on controlling the retransmission rights of independently-owned local CBS affiliates on vMVPD platforms like Fubo.’”

B+C also reported that the CBS affiliate board, which did not endorse Paramount’s FuboTV deal, told stations “Paramount negotiates on behalf of 100% of all local stations in conjunction with Paramount’s other over two dozen cable networks. Once Paramount reaches an agreement conferring unknown value on its own cable channels and other assets, it presents a take-it-or-leave-it' offer to 'opt in' to a vMVPD distribution agreement with no changes.”

More on the controversy can be found here.

NEW YORK—FuboTV has inked a deal with Sinclair Broadcast Group that will bring Bally Sports’ 19 regional sports networks (RSNs) to Fubo in the coming weeks.

The Bally Sports RSNs are owned and operated by Diamond Sports Group, a subsidiary of Sinclair. This agreement expands the existing partnership, which already includes the carriage of Sinclair’s owned local broadcast stations, Tennis Channel and Marquee Sports Network (television home of the Chicago Cubs), on Fubo TV.

The deal will allow cord cutters to access local sports on Sinclair’s RSNs without having to subscribe to traditional cable or satellite and will expand FuboTVs live sports footprint.

How much of an impact the deal will have on Sinclair’s struggling Diamond Sports Group RSNs remains to be seen. Since Sinclair acquired the Bally Sports RSNs from Disney and rebranded it as Diamond, the broadcaster has incurred more than $9 billion in debt as sports rights costs explode and subscribers continue to cut the cord. Sinclair reports that Diamond lost more than $1 billion in its most recent quarter and according to a report in the New York Post over the weekend, the division could face bankruptcy if MLB, NBA and NHL—which have expressed interest in acquiring Diamond—back out.

With this new agreement, FuboTV will provide subscribers with access to their respective local Bally Sports RSN(s), including: Bally Sports Arizona, Bally Sports Detroit, Bally Sports Florida, Bally Sports Great Lakes, Bally Sports Indiana, Bally Sports Kansas City, Bally Sports Midwest, Bally Sports New Orleans, Bally Sports North, Bally Sports Ohio, Bally Sports Oklahoma, Bally Sports San Diego, Bally Sports SoCal, Bally Sports South, Bally Sports Southeast, Bally Sports Southwest, Bally Sports Sun, Bally Sports West and Bally Sports Wisconsin.

FuboTV, which currently has 1.2 million subscribers, will offer fans a new streaming option for Bally Sports RSNs as well as a leading choice for RSN coverage with a total of over 35 networks in its portfolio, and most available in its base channel package (Pro). Fubo’s sports offering includes more than 50,000 live sporting events annually, with many streaming in 4K, from RSNs, local broadcast networks and national sports networks ESPN, FS1, CBS Sports Network, the Pac-12 Networks and many more. In addition to sports, FuboTV also streams popular live entertainment and news programming and features more than 40,000 TV shows and movies on-demand each month.

“RSNs are integral to FuboTV’s sports-first content strategy and our mission to superserve local passionate sports fans,” said Henry Ahn, chief business officer, FuboTV. “We are very pleased to bring Fubo subscribers significant local sports coverage through our new partnership with Bally Sports, the nation’s leader in local sports rights. Sinclair has been a great partner and we’re pleased that we were able to work together well to get a deal done that is meaningful and beneficial for both sides. We’re looking forward to bringing the Bally Sports RSNs to Fubo subscribers in the coming weeks.”

“FuboTV has long been associated with connecting sports fans to their favorite teams and we are thrilled to be expanding our partnership to include the Bally Sports regional sports networks across their platform, providing Fubo’s subscribers with streaming access to their favorite hometown Bally Sports teams,” said Will Bell, SVP, head of distribution and network relations, Sinclair. “Fubo has been a great partner, and we are excited to continue to grow our relationship to serve our collective viewers.”

NEW YORK—A criminal cyberattack interrupted FuboTV’s service on December 14, 2022, the day of the Qatar 2022 semifinal match between France and Morocco, and many FuboTV subs had issues accessing their accounts, the vMVPD reported.

FutoTV said the incident was not related to any bandwidth constraints on Fubo’s part and that they were the target of a criminal cyber attack.

“FuboTV takes this matter very seriously,” the company said in a statement. “Once we detected the attack, we immediately took steps to contain the incident and worked to restore service to all of our users as quickly as possible. Service was fully restored by last evening. We deeply regret the disruption caused by this incident in the meantime.”

FuboTV noted that it had reported the incident to law enforcement and has engaged Mandiant, an industry-leading incident response firm, to assist with its investigation and response to the attack.

“Our primary focus currently is on ensuring that the incident is fully contained and that there is no threat of further disruption for any of our customers,” the company said. “Our investigation is at an early stage, but we are committed to transparency regarding this incident. We will provide an update at an appropriate time when we have more information to share.”

What’s the best live streaming TV service in 2022 according to U.S. News & World Report? According to its analysis, three services vie for the top honors: fuboTV, YouTube TV and Hulu + Live TV.

One differentiator that probably didn’t make a big impact in its final tally is price: Both fuboTV and Hulu + Live TV start at $70 for a monthly subscription (with options to increase the fee) while YouTube TV is close behind at $65.

Granularly, Hulu + LiveTV and YouTube TV garnered 4.1 stars while fuboTV came in at 4.0 but all three were considered the top contenders according to the publication. Trailing behind were SlingTV at 3.8, Philo at 3.7 and DirecTV Stream at 3.5.

As for Hulu + Live TV, U.S. News liked its unlimited DVR storage as well as its extensive library, which includes Disney+ and ESPN+ as part of its $70 monthly subscription. “That’s multiple libraries of original content and exclusive movies and TV series that no other live TV streaming service offers,” it said.

fuboTV, which has branded itself as a leading source of live sports streaming, was ranked the #1 Sports Streaming Service in the report, as well as tying for first among overall live TV streaming services. “It also offers a full range of entertainment channels, making it an appealing option for both devoted sports fans and general TV viewers,” they said. “With plans starting at $69.99 per month, it’s priced on the higher side of live-TV streaming services, but that price also includes up to 1,000 hours of cloud DVR storage and unlimited screens for simultaneous viewing at home.”

YouTube TV, which is most like Hulu + Live TV, differentiates itself from its competitor by offering a wider availability of broadcast channels (including PBS) as well as NBA TV and NFL Network and a lower-priced Spanish plan, U.S. News said.

As for the also-rans, U.S. News says it likes Philo’s $25 monthly rate, calling it “a bargain for subscribers who are primarily looking for entertainment programming and aren’t interested in live sports or news.” Sling TV offers more live news and sports than Philo, including CNN and ESPN, but it doesn’t have the extensive sports programming of pricier live-TV streaming services and DirecTV Stream is the most expensive of the seven live streaming services.

One factor also working against DirecTV Stream’s favor, however, is that, unlike the others on the list, it is more likely to get caught up in the ongoing retrans battles, resulting in loss of over-the-air channels. And despite the lack of daylight between monthly subscription rates among the leaders in the survey, picking the best live TV streaming service still comes down to price, U.S. News said.

"Picking the right live-TV streaming service largely comes down to price. Smaller-scale services, Philo and Sling TV, may cost less than half of the monthly fee for pricier services like fuboTV and Hulu + Live TV."

NEW YORK & MIAMI—FuboTV and TelevisaUnivision have both issued statements complaining about the other party’s demands in the intensifying negotiations for a new carriage agreement that would allow the virtual MVPD to carry Univision’s networks.

FuboTV has complained that TelevisaUnivision is trying to double the rates paid under the current contract while TelevisaUnivision said that FuboTV is “not willing to pay market rates.”

The deadline for reaching a new deal is June 30, 2022. Currently FuboTV is the only live streaming service to offer all four of TelevisaUnivision’s four networks, Univision, UniMas, Galavision, and TUDN, according to FierceVideo.

“FuboTV has told us repeatedly that they are not willing to pay market rates to deliver Univision’s networks to Hispanic viewers,” TelevisaUnivision said in a statement released on June 27. “Still, we remain committed to reaching a fair deal with FuboTV, so that viewers are not deprived of access to the most-watched Spanish-language news, sports and entertainment programming in America. If we are unable to reach an agreement, however, our loyal viewers will be able to find our programming streamed elsewhere at very competitive prices.”

Earlier this month, FuboTV released a statement saying “FuboTV is currently in negotiations with Univision to renew our long-standing content agreement. Univision’s new contract offer would cost us more than double the current rates, which are already at a premium to market. We are working diligently to resolve this issue and hope Univision reconsiders their approach in negotiating with FuboTV and will continue to offer their content in our market-leading Latino content package at a fair and reasonable price for consumers.”

NEW YORK— fuboTV reported lower subscription levels and lower than expected revenues for its virtual streaming service for Q1 this week.

Subscriptions fell by 75,000 worldwide in the quarter ending March 31 and the company reported a loss of $140.8 million for Q1, compared with a loss of $70.2 million the same period a year ago.

When looked at year-over-year, however the outlook was positive, according the company. Total paid subscribers are up 81% YOY to 1,056,245 total and advertising revenue was also up 81% YOY to $22.8 million. Record revenues of $236.7 million in the U.S. and Canada represented an increase of 98% YOY.

fuboTV says it states its key metrics on a year-over-year basis given the "seasonality" of sports content.

The company also announced results for its Rest of World (France, Spain) streaming business for the first time, ending the quarter ahead of expectations with approximately 305,000 total paid subscribers and $5.5 million in total revenue.

Far smaller than its competitors, YouTube TV, Hulu and Sling in the vMVPD market, fuboTV offers a subscription package of more than 115 channels for $70. In March, it announced that it was dropping its “Starter” tier of 100 channels that cost $64.99 per month in favor of the “Pro” tier of 115+ channels. That price is in line with its competitors’ current offerings.

David Gandler, co-founder and CEO, fuboTV said that the company experienced “challenges” during its most recent quarter but that it sees future potential in more interactive content, personalization and gaming (online betting).

“In our first quarter, against a challenging macro environment, fuboTV achieved strong growth in subscribers and revenue, with North American subscriber growth of 81% year-over-year,” said Gandler. “In a less robust advertising market, however, we experienced some pressure on adjusted contribution margin due to slower ad sales growth than we had initially expected, with ad revenue up 81% year-over-year. Importantly, we strengthened fuboTV’s balance sheet, ending the quarter with over $456 million in cash. This increased financial flexibility is expected to take us through 2023, and we are targeting positive cash flow and Adjusted EBITDA (AEBITDA) in 2025, with a relatively modest cash requirement anticipated in 2024.”

“We are committed to a business which replaces the decades-old basic cable package by giving consumers increased and improved content, ‘anytime anywhere’ access and mobility, increased choice and flexibility, personalization and interactivity—including gaming,” said Edgar Bronfman Jr., executive chairman, fuboTV. “Wagering remains an important pillar in our path to profitability and strategy to integrate interactivity into our live TV streaming experience. While striving to be the most compelling destination for cord cutters, fuboTV has started to enact a series of approaches to increase monetization, accelerate our ad sales business and further strengthen our unit economics.”

CHICAGO—The streaming platform fuboTV has announced that its Fubo Gaming subsidiary has launched Fubo Sportsbook in Arizona, marking the second launch of the service, which allows sports enthusiasts 21 years of age and older to bet on live sports using the mobile app or on the Fubo Sportsbook website.

The launch of the sportsbooks are part of fuboTV’s strategy of integrating interactivity into its live streaming platform.

The launch in Arizona, in partnership with the Ak-Chin Indian Community, expands Fubo Sportsbook’s presence in the U.S. following last month's launch in Iowa. The Fubo Sportsbook integrates an owned-and-operated sports wagering platform with a live TV streaming experience.

By integrating with fuboTV, the mobile app delivers personalized omni-screen content that the company says will “turn passive viewers into active participants.”

Fubo Sportsbook’s proprietary feature, Watching Now, leverages fuboTV’s first-party user data to engage participants by recommending relevant bets based upon what they are streaming — even as they change the channel, the company reported.

Fubo Gaming also said that it intends to continue to update the app, launching additional features that will further integrate wagering into the fuboTV platform, to create an even more immersive and personalized experience.

"We are honored to partner with our first Native American tribe, the Ak-Chin Indian Community, to launch our market-defining sportsbook within the great state of Arizona,” said Scott Butera, president, Fubo Gaming. “In less than a year of establishing Fubo Gaming, we brought our sports betting platform to passionate sports communities across two states and look forward to continuing introducing our unique product to many more consumers.”

“Fubo Sportsbook is a major pillar of fuboTV’s mission to integrate interactivity into our live TV streaming platform and define a new category of interactive sports and entertainment television,” said David Gandler, co-founder and CEO, fuboTV. “I’m very proud of how quickly the Fubo Gaming team has brought Fubo Sportsbook to market: from our announcement to expand into online sports wagering to the launch of Fubo Sportsbook in Arizona, our second state, all in the same year.”

Earlier this year, Fubo Gaming received regulatory approvals to operate as the management service provider to the Ak-Chin Indian Community to go live with mobile betting operations within the state of Arizona. The company has also obtained market access agreements in four other states, including Pennsylvania via The Cordish Companies, Indiana and New Jersey via Caesars Entertainment Inc., and Iowa via Casino Queen. Fubo Gaming expects to announce the launch of Fubo Sportsbook in additional markets, subject to requisite regulatory approvals, the company added.

The company also has partnerships with NASCAR, and the New York Jets (NFL) and, as an Authorized Gaming Operator (AGO) with the NBA, a multi-year agreement with the Cleveland Cavaliers (NBA).

NEW YORK—As part of its Q3 2021 earnings announcements, fuboTV Inc. said it has surpassed the 1 million sub count milestone and announced two key acquisitions.

In what the virtual MVPD is calling “a significant milestone” in its global expansion plans, fuboTV has entered into a binding agreement to acquire France’s number one live TV streaming company, Molotov SAS for €164.3 million (approximately $190 million using the foreign currency exchange rate as of November 8, 2021).

The acquisition is expected to close sometime during the first quarter of 2022.

The virtual MVPD also announced that as part of their strategy of creating a new category of interactive sports and entertainment television, they are acquiring Edisn.ai to "enhance our AI-driven interactive experiences, personalization and platform stability."

At a time when some vMVPDs have seen sluggish sub growth, fubo TV also reported significant growth in subscribers and revenue during Q3 2021 compared to a year earlier.

In a letter to shareholders, CEO David Gandler and executive chairman Edgar Bronfman Jr reported that “in the quarter, we delivered triple-digit year-over-year growth in total paid subscribers (up 108% to 944,605), total revenue (up 156% to $156.7 million) and advertising revenue (up 147% to $18.6 million). Additionally, we added 262,884 net subscribers in the third quarter - more subscribers than added throughout all of 2020. Viewership also reached record highs, with fuboTV customers streaming 284 million hours of content during the quarter, a 113% increase year-over-year.”

Since the end of Q3, the company also reported that it had passed the 1 million sub mark.

The Molotov SAS transaction will speed up fuboTV’s global expansion efforts by allowing fuboTV to leverage Molotov’s unique direct-to-consumer live TV streaming service and its advertising video-on-demand (AVOD) platform, Mango, which combined total nearly four million monthly active users in France (September 2021), fuboTV said.

The Molotov streaming platform was designed to be easily localized for new markets and languages, facilitating quick and efficient launches in additional countries, the vMVPD also noted.

Molotov also brings to fuboTV’s international business a freemium model which leverages a free tier to drive user growth and upsell customers to premium add-on channel packages. fuboTV plans to leverage Molotov’s strategy and low-cost marketing funnel for international growth while implementing fuboTV’s marketing technology to accelerate Molotov subscriptions.

Molotov will continue to be based in Paris and led by JeanDavid Blanc, its co-founder. Blanc has also been named president, Molotov.

Molotov’s approximately 100 employees will remain with the Company and fuboTV plans to further expand the product and engineering team in Paris. Molotov was founded in 2015 by Blanc (founder of AlloCiné) and Pierre Lescure (co-founder of Canal+).

“Molotov has set the benchmark for ad-supported and subscription streaming platforms in Europe,” said David Gandler, co-founder and CEO, fuboTV. “We believe this strategic asset will help accelerate our goal of achieving global scale and operating leverage as we continue to improve and innovate on our live, interactive streaming TV experience for sports fans and their families.”

fuboTV currently operates in the U.S. and Canada and was the first U.S. virtual MVPD to enter Europe with its 2018 launch in Spain. Molotov operates in France, Burkina Faso, Ivory Coast, Senegal and Cameroon and expects to launch soon in the Democratic Republic of Congo. The Company also operates in Morocco through a partnership with Maroc telecom.

NEW YORK CITY–Sports streaming platform fuboTV will deploy its integrated predictive, free-to-play games and FanView live stats feature Sept. 2 for the South American Qatar World Cup 2022 Qualifying matches (CONMEBOL).

FuboTV, which has been beta testing the tools, has exclusive streaming rights to CONMEBOL through March 2022.

Subscribers to fuboTV can seamlessly stream CONMEBOL matches, use FanView to monitor stats and scores next to and under a reduced-size video player and play free predictive games—on one screen—using their remote control and without having to open another app. Viewers can toggle both free games and FanView on or off, giving them the ability to choose their live experience, the company said.

FuboTV tested both features during the CONMEBOL match window in June. The integration of free games and FanView into the live soccer matches increased engagement. Subscribers watched fuboTV up to 37% longer, depending on platform, than those who did not engage.

The company will add two new features for the launch. Users will be able to see where they place on a leaderboard for each game. They can also subscribe to notifications for latest updates, it said.

Players who engage with CONMEBOL matches in September will earn points for every question answered correctly on every match day (Sept. 2, 5 and 9). Players compete to earn the most points and win the $1,000 prize, subject to applicable rules, fuboTV said.

Predictive, free-to-play games will be available on Android mobile, iOS mobile, Android TV, Fire TV, Roku and the web; FanView will be available on Android TV, Fire TV, LG TV, Roku, Samsung Smart TV, Xbox One’s family of devices and the web. fuboTV expects to roll out both features on additional devices.

Free-to-play games mark the beginning of fuboTV’s gaming roadmap. The company aims to turn passive viewers into active participants and define a new category of interactive sports and entertainment television, it said.

FuboTV’s subsidiary Fubo Gaming also expects to launch Fubo Sportsbook, a comprehensive sports entertainment experience through sports betting, in the fourth quarter of 2021, subject to obtaining requisite regulatory approvals, it said.

“We believe this will mark the first time any company has integrated live streaming television, free games and live stats within the same platform, on the big screen,” said David Gandler, co-founder and CEO, fuboTV.

“With free games and our upcoming Fubo Sportsbook real-money wagering app, we intend to deliver a truly interactive streaming experience, one that we expect will improve engagement and retention to fuboTV while also driving advertising revenue,” he said.

More information is available on the company’s website.

NEW YORK—The first quarter 2021 results are in for fuboTV, which saw the sports-focused live streaming platform hit new highs in subscriptions and revenues. However, fuboTV still posted a net loss for the quarter.

fuboTV added a total net of 43,000 subscribers in Q1 2021, bringing its total up to 590,430; this represents a 105% year-over-year increase from Q1 2020. Unsurprisingly, the number of hours that content was streamed also saw a big uptick, growing 113% year-over-year to 228 million hours for the quarter.

In terms of revenue, fuboTV reported that it earned $119.7 million, which is a 135% increase year-over-year. The service’s advertising revenue accounted for $12.6 million of that, a 206% year-over-year rise.

fuboTV says that Q1 2021 is the first time that it achieved sequential subscriber and revenue growth in any first quarter.

Despite that, fuboTV still posted a $70.2 million net loss in the quarter. That is not preventing fuboTV CEO and co-founder David Gandler from seeing the positive, however.

“The first quarter of 2021 was an inflection point for fuboTV,” said Gandler. “For the first time in any first quarter, we reported sequential revenue and subscriber growth, despite past seasonality trends. This tells us that consumers are increasingly cutting the cord. We believe they are choosing fuboTV, enticed by superior value, our year-round content offerings and a customer-centric, innovative consumer product experience relative to legacy pay-TV (cable / satellite / telco). We see this trend continuing to accelerate as more consumers discover they can cut the cord without losing access to the sports teams, live channels and content they love.”

Looking ahead, fuboTV projects that it will generate between $120-$122 million in revenue in Q2 2021 and see its total number of subscribers reach between 600,000-605,000. For the entire fiscal year 2021, it estimates total revenue of $520-$530 million and a total subscription base of 830,000-850,000.

For more information, see fuboTV’s full Q1 2021 financial report.

NEW YORK—fuboTV, the sports-focused live TV streaming platform, believes that it had a better 2020 than it thought it would based on its preliminary fourth quarter 2020 revenue and subscriber results.

According to fuboTV, its paid subscribers at the end of 2020 total more than 545,000. This represents a 72% year-over-year growth and exceeds initial projections of 500,000-510,000 subscribers by the end of 2020.

Revenue for fuboTV also is expected to exceed expectations, with fuboTV’s initial report projecting a Q4 total revenue between $94-$98 million, a 77-84% increase year-over-year.

“fuboTV’s strong preliminary fourth quarter 2020 results exceeded what was already expected to be a record year for the company, and demonstrate continued consumer excitement for the company's live TV streaming offering,” said David Gandler, co-founder and CEO, fuboTV. “In 2021, we will continue to be laser focused on executing our growth strategies, which include continuing to grow advertising revenues, working to implement sports wagering into our product and further establishing fuboTV as a leader in sports and live streaming.”

However, the end of the year wasn’t entirely sunny for fuboTV. After having its stock valued at $62 a share on Dec. 22, fuboTV was trading at $24 on Nasdaq as of midday on Jan. 4. There appears to be debate among financial experts on whether or not fuboTV will be able to create a substantial niche audience with its bevy of sports streaming content.

NEW YORK—fuboTV, the streaming service that focuses primarily on sports content, reported a loss of $274.1 million in the third quarter of 2020, despite what it calls its best quarter ever in gains of subscribers and revenue.

A large part of the company’s losses came from a $236.7 million non-cash impairment charge for the acquisition of FaceBank, which fuboTV acquired in March.

fuboTV sought to portray Q3 as a win overall, though, reporting that it had 455,000 subscribers at the end of the quarter, an increase of 58% year-over-year. It also reported $61.2 million in revenue, a 47% increase year-over-year; subscription revenue accounted for $53.4 million of that (a 64% increase), with advertising making up the remaining $7.5 million (153% increase).

Total streaming hours also saw a boost, per fuboTV, with 133.3 million hours streamed in Q3 (paid and free trial).

In its announcement, fuboTV also shared that it will be expanding into online sports wagering, which will serve as an additional revenue stream and help add new subscribers. No official details on how online sports wagering will be combined with the streaming service were provided.

Also, fuboTV announced new content agreements with Epix and Starz, which are expected to become available on the platform before the end of the year.

fuboTV’s estimates that its fourth quarter revenues will come in between $80-$85 million, which would represent a 51-60% increase year-over-year. For the full year, fuboTV now projects revenue to be between $244-$248 million (65% increase year-over-year). It also expects to end the year with 500,000-510,000 subscribers. Projections for full year 2021 are expected to build off these numbers, with the company estimating a yearly revenue of $415-$435 million.

“Our successful public offering in October demonstrated confidence in fuboTV’s strategy, and investor excitement has continued to grow,” said Edgar Bronfman Jr., executive chairman for fuboTV. “We believe fuboTV sits firmly at the intersection of three megatrends: the secular decline of traditional TV viewership, the shift of TV ad dollars to connected TVs and online sports wagering, a market we intend to enter. As a result, we believe our growth opportunities are numerous. Our optimism in the future of fuboTV and the live TV streaming business has never been stronger.”

More information is available on fubotTV’s investor website.

NEW YORK—fuboTV shared its second quarter 2020 financial results, where it hopes that the adage of “you have to spend money to make money” proves true as its operating costs mitigated year-over-year growths in revenue.

The total operating expenses for fuboTV in the quarter were $111.5 million. These included a $9.1 million increase in subscriber expenses to $53.1 million and an increase of general and administrative expenses of $8.2 million ($17.3 million including stock-based compensation), an increase of $5.4 million. This led to a net loss of $99.8 million for Q2 despite reporting $44.2 million in revenue, up 53% year-over-year.

That $44.2 million was driven by subscriber growth, with subscription revenue increasing 51% year-over-year to $39.5 million. At the end of Q2, fuboTV had 286,126 paid subscribers, up 47% from the same time last year. Advertising revenue also increased year-over-year by 71% for a total of $4.3 million.

Additional data shared by fuboTV includes the total content hours streamed by fuboTV users (both paid and free trial), which totaled 98.6 million hours, was up 83% from Q2 2019.

This is the first financial report from fuboTV since it merged with FaceBank Group in April of this year.

In a letter to shareholders, fuboTV CEO David Gandler said the company was on the “path to profitability,” saying that they expect to close the third quarter 2020 with 340,000-350,000 total subscriptions. The company also recently closed a multi-year carriage agreement with Disney Media Networks, including ESPN, and has been growing out its fubo Sports Network ad-supported linear channel with new content, per Gandler.

For more information, visit ir.fubo.tv.

NEW YORK—fuboTV, a vMVPD streaming service, has reported significant growth in both its number of subscribers and its total revenue from the first quarter of 2020, which ended on March 31.

Financial filings shared by FaceBank Group Inc., which merged with fuboTV in April of this year, show that the streaming service’s revenue for Q1 was $51 million, a 78% increase from Q1 2019. The company cites growth in subscriptions, subscription Average Revenue Per User (ARPU) and advertising sales as key contributors to the increase. Specifically, the number of paid subscribers at the end of Q1 was 287,316, an increase of 37% year-over-year, while the ARPU per month was $54.16, an increase of 25% year-over-year.

Other key statistics from the filing detail that the total streaming hours by fuboTV users (paid and free trial) in the first quarter increased 120% to 107.2 million hours. Monthly active users watched 120 hours per month on average in the quarter, an increase of 52% from 2019. Additionally, fuboTV says that early findings from Q2 2020, while most people have sheltered at home due to COVID-19, shows viewing hours have peaked at 8.5 hours per day and 145 hours per month.

Other financial news from fuboTV includes the strengthening of the company’s balance sheet with an additional $46 million in equity funding from institutional and private investors since the merger with FaceBank, including $20 million from Credit Suisse Capital.

fuboTV also recently signed a deal with the Walt Disney Company to add ESPN and other Disney-owned content to its programming.

“We believe fuboTV is at the forefront of the streaming revolution and has a significant advantage not only over peers in the vMVPD space but also over traditional cable television,” said David Gandler, fuboTV CEO, in a letter to shareholders. “We believe consumers will continue to choose streaming over traditional pay television because of this more personalized, premium viewing experience that is also less expensive.”

For more information, visit www.fubo.tv.

NEW YORK—Live TV streaming platform fuboTV and virtual entertainment company FaceBank Group will move forward as a single entity known as fuboTV Inc. following the announcement of a definitive merger agreement.

The merger will create a new digital entertainment company that combines fuboTV’s streaming platform that is used by cord-cutters with FaceBank’s technology-driven IP in sports, movies and live performances for a content delivery platform that works with both traditional and future-form IP. The addition to FaceBank is expected to boost fuboTV’s sports and entertainment offerings.

Another component of the merger will be the integration of FaceBank’s Nexway AG, a global ecommerce and payment platform available in 180 countries and accepting about 140 currencies. This will reportedly help fuboTV with its global expansion.

When the merger is complete, fuboTV will become a wholly-owned subsidiary of FaceBank; FaceBank will then be renamed fuboTV Inc. The combined company will be headquartered in New York and led by fuboTV CEO David Gandler in the same role. Additional information on the new company’s management structure will be announced at a later date.

“The business combination of FaceBank Group and fuboTV accelerates our ability to build a category defining company and supports our goal to provide consumers with a technology-driven cable TV replacement service for the whole family,” said Gandler. “In the current COVID-19 environment, stay-at-home stocks make perfect sense—we plan to accelerate our timing to uplist to a major exchange as soon as possible.”

The deal is expected to close during the first quarter of 2020, according to the two companies.

fuboTV, the sports-focused OTT TV service, plans to launch a 4K offering in beta form this summer, according to co-founder and CEO David Gandler.

fuboTV hasn’t specified how much content in the pixel-packed format it might offer on a linear or on-demand basis, but the company expects to announce more details “in the coming weeks,” Gandler said.

The move will put fuboTV in some select company as a few traditional pay TV providers, such as DirecTV, Dish Network, Altice USA and Comcast have offered a limited amount of content in 4K. Layer3 TV, a managed, market-level, managed IPTV service now owned by T-Mobile that’s also working on a national OTT offering, offers a mix of linear channels and on-demand content in 4K.

Among pure-play OTT services, DirecTV Now is working on upgrades to its streaming platform that will support 4K.

“This is a big push that we have,” Gandler said of fuboTV’s 4K initiative. “For us, [4K] is a big part of our future. Obviously, sports fans who buy expensive TVs certainly want to get the best picture quality.”

In addition to a 4K-capable TV, fuboTV customers that want to take advantage of the future offering will also need to have the app running on a streaming device, such as a Roku player, Apple TV or Fire TV box, that also supports the format.

fuboTV announced last fall that it had more than 100,000 subscribers, and expects to provide updated figures later this year.

While fuboTV’s core focus is the U.S., the company also offers a basic pay TV service in Canada. fuboTV is also developing a version of its service for Western Europe that is expected to launch “very soon,” according to Gandler.

More from the discussion with Gandler and about industry trends and fuboTV's plans will be featured in an upcoming issue of Broadcasting & Cable.
