Charter Communications and Cox Communications announced today that the two companies will merge in a deal valued at $34.5 billion. The transaction—which consists of $21.9 billion in equity with $12.6 billion in net debt—combines the nation’s second- and fourth-largest broadband providers with an estimated 36.5 million broadband subscribers. If approved, the merger could make it the nation’s largest cable-based broadband provider, leapfrogging Comcast’s 32 million.

Cox Communications, a division of Cox Enterprises, is the largest privately held broadband company in the U.S., with about 6.5 million total residential and commercial customers. Charter reported 30 million broadband customers at the end of the first quarter.

Under the agreement, Charter will acquire Cox’s commercial fiber, IT, and cloud businesses, while Cox’s residential cable operations will be contributed to Charter Holdings, an existing Charter partnership. In exchange, Cox Enterprises will receive $4 billion in cash, $6 billion in convertible preferred units and 33.6 million common units in Charter Holdings, giving it about 23% ownership in the combined company post-closing. The transaction is contingent on regulatory and shareholder approvals and is expected to close alongside the Liberty Broadband merger, announced last fall.

If approved, the new entity will become Cox Communications and the combined company will have a wider national footprint. Charter has subscribers in 41 states, making it available to 57 million homes and businesses. Cox Communications provides broadband services across 18 U.S. states, with a strong presence in the South, Southwest, and select East Coast regions.

Charter’s Spectrum will become the consumer-facing brand within the communities Cox serves. The combined company will remain headquartered in Stamford, Connecticut, and will maintain a significant presence on Cox’s Atlanta campus following the closing.

The merger is the latest indication of the pressure the cable TV industry has been under for the past decade, as cord-cutting has decimated its video business and wireless providers increasingly market 5G wireless alternatives. Although cable broadband still reigns nationwide with 76.1 million subscribers, Fixed Wireless Access, (aka 5G wireless services) provided by AT&T, Verizon and T-Mobile have approximately 11.5 million subscribers nationwide and is the fastest growing market segment.

Both Charter and Cox also provide mobile broadband services, with Charter reporting 10.5 million mobile lines as of March 31. Although Cox doesn’t report wireless subscribers, its Cox Mobile service is available in 19 states and Washington, D.C., making it available to 7 million subscribers nationwide.

Following the merger, Charter president and CEO Chris Winfrey will lead the combined company and Alex Taylor, chairman and CEO of Cox Enterprises, will join the board as Chairman. Eric Zinterhofer, chairman of Charter’s Board of Directors will become the lead independent director on Charter’s board.

“We’re honored that the Cox family has entrusted us with its impressive legacy and are excited by the opportunity to benefit from the terrific operating history and community leadership of Cox,” said Chris Winfrey, President and CEO of Charter. “Cox and Charter have been innovators in connectivity and entertainment services—with decades of work and hundreds of billions of dollars invested to build, upgrade and expand our complementary regional networks to provide high-quality internet, video, voice and mobile services.

“This combination will augment our ability to innovate and provide high-quality, competitively priced products, delivered with outstanding customer service, to millions of homes and businesses,” Winfrey continued. “We will continue to deliver high-value products that save American families money, and we’ll onshore jobs from overseas to create new, good-paying careers for U.S. employees that come with great benefits, career training and advancement, and retirement and ownership opportunities.”

With advertisers increasing their spend year over year, consumer interest and awareness in the free service also continues to grow; in fact, the study reveals, 94% of FAST impressions are delivered on the TV screen.

“Every month, FAST channels are attracting tens of millions of viewers due to the plethora of high-quality programming including content like local news, niche sports, themed movies, enthusiast TV shows, and more,” said Marcien Jenckes, President, Xumo and Managing Director, Comcast Advertising. “The results of this research highlight how the advertising industry is responding to FAST, and their increasing interest in its monetization potential.”

Nearly half of advertisers surveyed said they are currently using FAST in their media buying and planning, noting that FAST helps them reach their audiences incrementally and more accurately; in fact, three in five FAST buyers use it to target a specific audience, and over half of advertisers use FAST because it extends the reach of their audience, according to the report.

The report also found that almost half of consumers regularly watch at least one channel on a FAST service, with FAST viewers using an average of 1.5 FAST services. The report also noted that in a survey, 56% of viewers said FAST channels are as good as cable channels.

The most popular genre on FAST is news at 39% share, followed by crime TV with 17%, movies 10%, action and drama 5%, sports 5% and games shows 3%. Others accounted for 21%.

The report concludes with several predictions around the future of FAST, including the blurring between FAST and linear, the personalization of the user experience, and increased advertiser education as FAST continues to mature, according to Megan Halscheid, VP, PMX Marketplace Intelligence, Publicis Media.

“I expect demand for FAST to grow in the coming years as pricing pressure on consumers from subscription streaming services mounts,” she said. “More and more of the viewing audience will look to FAST to add to their viewing experience, making the format increasingly valuable to ad buyers.”

"The 2023 State of FAST" report combines data insights from across Comcast Advertising and Xumo Play alongside custom research with advertisers and agency executives undertaken by Gavin Bridge, vice president, Media Research at CRG Global and known in the industry as “FASTMaster.”

Cox Communications said this week that it would modify its “powered by fiber” marketing campaign to make plain that the company’s internet division does not actually offer fiber to the home. The company’s about face comes after the National Advertising Division agreed with a challenge brought by AT&T

Cox offers two different fixed broadband internet services: Cox Fiber, a residential internet service that is 100% fiber, including fiber to the home. The other, Cox Internet, is almost entirely fiber to the node close to residences, but the “last mile” uses coaxial cable instead of fiber. These services do not overlap. The customer’s location determines which service they can purchase.

NAD determined that “powered by fiber” reasonably conveys the messages that Cox Internet is comparable to fiber internet, offers customers fiber optic internet connections to their homes, and offers an advanced fiber optic network. But since a coaxial and a fiber network are equivalent in performance to all consumer-relevant metrics, NAD recommended that Cox modify its “powered by fiber” claims.

Cox responded that it would comply with NAD’s recommendation, adding that it “appreciates NAD’s recognition that Cox may continue to advertise that Cox Internet is Powered by Fiber,” and while it “disagrees with certain aspects of NAD’s decision, it is a strong supporter of advertising self-regulation.”

The news comes exactly a year after AT&T lost another challenge over Cox’s marketing practices, when the NAD agreed that Cox’s “gig-speeds everywhere” did not violate its guidelines.

ATLANTA—Cox Communications has announced a major investment in its broadband network, committing more than $400 million over the next three years to bring symmetrical gigabit broadband connectivity to more than 100K unserved and underserved households in communities across the country.

The investments will help promote digital equity, the operator said.

As part of that effort, Cox recently announced a partnership with the City of Tahlequah, Ok. that will bring fiber service to more than 6,000 underserved homes. The company also announced a $20,000 donation from the James M. Cox Foundation to the Boys and Girls Club of Tahlequah to fund a Cox Innovation Lab, which will provide new and innovative technology and support to help bridge the digital divide in the community, Cox said.

Similar to Tahlequah, several other projects are underway in Oklahoma, Nebraska, Kansas, Florida, Louisiana, California, Virginia and Arizona, the operator reported.

"Today's families are even more reliant upon fast internet speeds to power their increasingly digital lives but many still lack access to a fast and reliable connection," said Cox Communications president Mark Greatrex. "As part of our ongoing commitment to digital equity, we're making private investments, continuing to pursue partnership opportunities, and positively impacting the lives of those in underserved areas by providing high-speed broadband service."

Cox also reported that in addition to these privately-funded expansion projects, it is involved in several other projects involving public-private partnership investments.

These include Yavapai County in Arizona where Cox was recently awarded American Rescue Plan funds from the county. These funds, combined with private investments from Cox, will allow for the expansion of more than 100 miles of Cox broadband network to reach more than 3,000 underserved residents in Congress and Black Canyon City.

In addition, public-private partnerships are successfully underway in Virginia with several more applications awaiting award decisions in other Cox markets.

Cox also stressed that this effort is part of a broader multibillion-dollar annual infrastructure investment over the next several years to deliver a 10 gigabit-capable, fiber-based network that will power the next generation of internet users.

Breakthrough enhancements to cable's broadband DOCSIS 4.0 technology combined with expanded fiber to the home will enable the delivery of multi-gigabit symmetrical speeds in the coming years to both residential and business customers to support a growing host of high bandwidth applications.

Residents in expansion areas can visit www.cox.com/getfiber to learn more about the service offerings available and to sign up for service availability updates.

PHOENIX—The YurView network from Cox Communications delivers local, regional and national broadcasts as well as live streaming and digital content to customers across the United States. The company produces Emmy award-winning sports coverage along with original programming that covers the outdoors, entertainment, arts, events, people, businesses, news and more. Each of the regions where Cox Communications has a presence has a YurView channel, featuring paid programming as well as local and shared programming produced by Cox. Live university and high school sports also form an important part of the content offered in each market.

Three years ago, we decided to bring all local market feeds into a single centralized facility in Phoenix, and to have a single master control to manage all content. With markets in California, Nevada, Arizona, Louisiana, Oklahoma, Kansas, Nebraska, Rhode Island, Connecticut, Florida and Virginia, each local station was responsible for its own master control operations, but the organization identified that many of the legacy playout automation systems in these locations were fast approaching end of life.

DRIVING THE NEED TO CENTRALIZE

YurView controls all of its local market feeds from a central hub in Phoenix utilizing the Marina platform from Pebble Beach Systems.

Many TV stations have been driven to centralize operations, which frequently results in the creation of regional hubs. Instead of a regional hub, the Cox YurView team created a national hub to provide an economy of scale with fewer operators watching over more channels. Making one investment in technology in one place, when content originates from so many locations, is typically much more efficient and cost effective. Creating a centralized storage hub that everyone can pull from rather than distributing and storing content on local storage systems was a key goal. This allows outside clients to upload content instead of distributing to FTP sites across the country and removes the need for equipment to transcode material in each market since it is all processed and stored in one place at the same time.

To make single master control operation happen, engineers and integrators developed an infrastructure that allowed all local programming to arrive in Phoenix and be recorded onto a Harmonic Omneon system. For a time, the legacy Sundance automation was deployed for this, but the YurView team needed to identify an alternative solution that would allow them to move forward and future-proof their operations. Pebble Beach Systems’ Marina automation system had a lot of similarities to what operators had been using and represented a state-of-the-art playout automation system that could bring operations into the future. The included migration tools gave the team confidence that they could seamlessly migrate playout operations to the new system with no disruption.

The YurView team made the move to Pebble’s Marina automation in August 2018 during a building expansion for the master control operators. They now have 17 channels going out across multiple markets, plus three or four smaller channels. The main YurView channels and Cox Sports TV, which is predominantly distributed throughout the southeast, originates out of the company’s Phoenix location by operators using the Marina system.

TIGHT INTEGRATION IS KEY

At the heart of the system sits Marina and the Harmonic Omneon playout system. The new Harmonic Spectrum X playout devices integrate DVEs and graphics, and Marina gives all the commands over IP for doing lower-third weather delay graphics or similar workflows, so it’s a very simple process. Other systems may require talking to a playout port, a graphics device and other devices independently, with the potential of having to use GPI commands to trigger things. Marina and Spectrum X integration is operationally seamless for managing items on the playlist and entering commands into the system.

For Cox Sports TV, there’s a considerable amount of live sports programming that will then be replayed at a later time. The program producers use a lot of graphics bugs to tell viewers when content is live or that it’s a replay in the upper right of the screen. This becomes a simple secondary event in the Marina playlist. Operators go to a menu and pull the bug that they want and simply drag it onto the event in the playlist where it’s supposed to go. At the end of the playlist, Marina automatically pulls the bug off, goes to a commercial break and comes back into the next segment where there’s another secondary event to put the bug in.

NEW FEATURES EQUAL NEW REVENUE OPPORTUNITIES

Marina has allowed operators to utilize more SCTE 35 commercial insertion commands, which was impossible to do with the previous automation system.

For example, when broadcasting a Fox Cardinals game, for the avails during the commercial breaks (which allows the downstream content distributors to insert commercials), operators can take a trigger from Fox that instructs Marina to start a commercial break. This enables the team to make use of their own programming, or conversely, they can send that command downstream to trigger any of the downstream commercial insertions that happen in the regional markets.

The Yurview team works closely with the Cox Media part of the organization as they are focused on commercial programming for the local markets. Being able to send those commands out and have separate commercial insertions for each of the regions has enabled account executives to maximize their sales.

The Pebble engineers are installing a redundant Marina system with automatic failover soon. This sophisticated system will give the team even more security for their operations while supporting the organization as it continues to evolve.

David Russin is vice president of sales, the Americas, Pebble Beach Systems.
